1. Agreement to These Terms
By purchasing a membership to Roost Strategies (the “Membership”), accessing our community on Discord known as The Flock (the “Community”), or using any content or services we provide, you (“Member,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). These Terms are a legally binding agreement between you and Byrd Coaching LLC, doing business as Roost Strategies (“Roost,” “we,” “us,” or “our”).
If you do not agree to these Terms, do not complete your purchase or access the Membership or the Community.
These Terms apply to all memberships, products, content, and services offered through our Whop storefront, our website at rooststrategies.com, our Discord server, and our email communications. They should be read together with our End User License Agreement, Privacy Policy, and Return Policy, all of which are incorporated by reference.
2. Description of Services
Roost Strategies is an online investing education membership. Your monthly Membership currently provides access to:
Education on the Wheel strategy (selling cash-secured puts and covered calls), led by Will Byrd
Education and commentary on the Growth strategy (crypto, stocks, and emerging technology), led by Scott Byrd
Trade alerts, as described in Section 5
A live session with Scott Byrd on weekday mornings, with recordings available to members for a limited time after each session
A video library of educational lessons, hosted on Whop
Coaching sessions, Q&A sessions, model portfolios, entry logs, and research reports, as scheduled and made available
The Flock, our members-only Discord community
The video library is released on a rolling schedule. Not all lessons will be available on the day you join, and new lessons will be added over time.
The specific content, schedule, frequency, format, and hosts of any part of the Membership may change at our discretion. We may modify, add, or remove features at any time. If we make a significant reduction to what the Membership includes, we will notify active members.
3. Educational Purposes Only. Not Financial Advice.
NOTHING PROVIDED THROUGH ROOST STRATEGIES CONSTITUTES FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE.
Byrd Coaching LLC, Scott Byrd, Will Byrd, Angie Byrd, and any moderators, guests, or contributors are not registered investment advisers, broker-dealers, or licensed financial professionals, and none of them acts in a fiduciary capacity to you.
All content, including trade alerts, live sessions, recordings, lessons, coaching, model portfolios, entry logs, research reports, chat messages, and third-party content shared in the Community, is provided for educational and informational purposes only. It is general and impersonal. It is not tailored to your financial situation, goals, experience, or tolerance for risk.
Any general guideline we share, such as a position-sizing rule of thumb, is a broad educational principle offered to all members alike. It is not a recommendation for your account, and you remain responsible for deciding how much to invest in any position.
By joining, you acknowledge and accept that:
No content we provide is a recommendation to buy, sell, or hold any security, option, cryptocurrency, or other financial instrument.
You alone are responsible for your investment decisions and their results.
You may lose some or all of the money you invest.
You should consult a licensed financial professional before making investment decisions.
4. Risk Disclosures
Investing and trading involve substantial risk of loss and are not suitable for everyone. By joining, you acknowledge the following specific risks.
4.1 Options
Options trading carries significant risk. When you sell a cash-secured put, you take on an obligation to buy the underlying stock at the strike price if you are assigned, even if the stock has fallen far below that price. Assignment can happen before expiration. Selling options ties up capital, and the premium you collect may be small relative to the losses you can incur. Before trading options, you should read “Characteristics and Risks of Standardized Options,” published by the Options Clearing Corporation and available from your broker or at theocc.com.
4.2 Cryptocurrency and Emerging Technology
Cryptocurrencies and emerging-technology investments can be extremely volatile. They may lose most or all of their value, may be affected by changing regulation, and may carry custody, exchange, and security risks that traditional investments do not.
4.3 No Guarantee of Results
Any return target or goal, example, illustration, model portfolio, entry log, or past trade we share is not a promise or prediction of future results. Past performance is not indicative of future results. Model portfolio and hypothetical results have inherent limitations and may not reflect real trading costs, taxes, slippage, or the effect of real market conditions.
5. Trade Alerts and Conflicts of Interest
5.1 What Trade Alerts Are
Trade alerts are educational illustrations of trades that Scott Byrd, Will Byrd, or others associated with Roost have placed, are considering, or are using as teaching examples, which may include trades in their personal accounts. Trade alerts are not recommendations, instructions, or signals for you to trade.
Trade alerts currently include entries, adds, trims, and exits in Scott Byrd's medium- to long-term growth account. A position may be built or reduced across many separate trades, and alerts may not reflect each individual fill. Shorter-term trades are not alerted and may instead be discussed during live sessions. The scope of trade alerts may change at our discretion.
5.2 Timing and Delivery
Trade alerts are delivered through email, Discord, or other channels, and may arrive late or not at all due to delays or outages outside our control. Market prices may change significantly between the time a trade is placed, the time an alert is sent, and the time you read it. We do not guarantee that we will send an alert for every trade, adjustment, roll, or exit, and positions may be changed or closed without notice to members.
5.3 Conflicts of Interest
Scott Byrd, Will Byrd, Byrd Coaching LLC, and people associated with them may hold, buy, or sell positions in the securities, options, and cryptocurrencies discussed in the Membership. They may do so before, at the same time as, or after information about those positions is shared with members, and they may trade in ways that differ from what is discussed. You should assume that anyone presenting content may have a financial interest in the assets being discussed.
6. Eligibility
You must be at least 18 years old to purchase a Membership or join the Community. Your Membership is for one person only.
7. Membership, Billing, and Payment
7.1 Membership Term
Memberships are billed monthly. Your Membership begins on the date your payment is processed and renews automatically each month until you cancel.
7.2 Pricing
Membership pricing is shown at the time of purchase. We may change pricing at any time, with notice to active members before any price change takes effect on their account.
7.3 Founder’s Edition and Other Special Pricing
From time to time we may offer special pricing, such as Founder’s Edition pricing or pricing for members of our prior community. Special pricing stays in effect only while your Membership remains continuously active. If your Membership is cancelled, expires, or ends because of a failed payment that is not resolved, and you later rejoin, you will pay the retail price in effect at the time you rejoin. Special pricing is personal to you and cannot be transferred.
7.4 Payment Processing
All payments are processed by Whop. By completing a purchase, you also agree to Whop’s terms of service and payment terms. We do not store your payment card information.
8. Cancellation
You may cancel your Membership at any time through your Whop account. Cancellation stops future billing and takes effect at the end of your current billing period. You keep access through the last day of the period you have paid for. When your Membership ends, your access to the video library, trade alerts, member emails, and the Community ends. You will remain on our general email list unless you unsubscribe.
9. Refunds
ALL SALES ARE FINAL. We do not offer refunds, partial refunds, or prorated credits, except to correct a billing error on our part as described in our Return Policy. Our full Return Policy is incorporated into these Terms.
10. Chargebacks and Payment Disputes
If you have a concern about a charge, you must contact us at [email protected] before filing a chargeback or payment dispute with your bank or card company. We will promptly correct any genuine billing error. Filing a chargeback without first contacting us is a breach of these Terms.
If you file a chargeback or payment dispute, we may:
Immediately end your Membership and remove your access to all content and the Community
Report the dispute to Whop and any relevant payment processors
Seek recovery of the disputed amount plus any fees we incur
Permanently ban you from future membership
These Terms, your purchase receipt, and your access records will serve as documentation in any dispute.
11. Intellectual Property
All content provided through Roost Strategies is the intellectual property of Byrd Coaching LLC. Your use of that content is governed by our End User License Agreement. In short: it is for your personal use only, and you may not record, share, resell, or redistribute it, including trade alerts.
Content you post in the Community remains yours. By posting it, you give us a non-exclusive, royalty-free license to use, reproduce, and display it within the Community and in our marketing materials. We will not use your full name in marketing without your permission.
12. Live Sessions and Recordings
Live sessions, coaching sessions, and Q&A sessions may be recorded and made available to members. If you participate, for example by speaking, appearing on camera, or posting in a session’s chat, your name or username, voice, image, and comments may be included in the recording. By participating, you consent to this. If you prefer not to be included, you may attend without participating.
13. Community Standards and Member Conduct
Membership in The Flock is a privilege, not a right. We expect members to be respectful, honest, and helpful to one another.
13.1 Our Staff Will Never DM You First
Roost staff will never send you a direct message first to offer trades, ask for money, request login or account information, or invite you to invest in anything. Any such message, even if it appears to come from Scott, Will, Angie, or a moderator, is a scam. Do not respond. Report it to a moderator right away.
13.2 Conduct That Results in Immediate Removal Without Refund
Attempting to scam, defraud, or solicit other members, including by direct message
Promoting third-party trading services, signals, products, or investment schemes
Offering paid advice, signals, or account management to other members
Sharing or distributing Roost content, including trade alerts, outside the Membership
Harassing, threatening, or abusing members or staff
Impersonating staff, moderators, or other members
Creating multiple accounts to get around a ban or restriction
Any conduct that violates applicable law
We may also remove members for conduct that is disruptive, disrespectful, or inconsistent with the culture of the Community, even if it is not listed above. We use moderation tools, including automated bots, to help keep the Community safe.
14. Third-Party Platforms
The Membership is delivered through third-party platforms including Whop, Discord, and Mailchimp. Your use of those platforms is also subject to their own terms. We are not responsible for their outages, errors, security incidents, or changes to their features.
15. Termination
We may suspend or permanently end any Membership at our sole discretion, with or without cause and with or without notice, including for violation of these Terms, conduct harmful to the Community, or fraudulent activity. When a Membership is ended for cause, access is removed immediately and no refund is issued.
16. Disclaimer of Warranties
THE MEMBERSHIP, THE COMMUNITY, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, AND WE MAKE NO WARRANTY REGARDING ANY OUTCOME, RESULT, OR FINANCIAL PERFORMANCE.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BYRD COACHING LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, MODERATORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING FINANCIAL OR TRADING LOSSES, LOST PROFITS, LOST DATA, OR INTERRUPTION OF SERVICE, ARISING FROM YOUR USE OF OR INABILITY TO USE THE MEMBERSHIP OR ANY CONTENT.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE MEMBERSHIP SHALL NOT EXCEED THE MEMBERSHIP FEES YOU PAID TO BYRD COACHING LLC IN THE THREE (3) MONTHS BEFORE THE CLAIM.
18. Indemnification
You agree to indemnify and hold harmless Byrd Coaching LLC and its owners, officers, employees, and moderators from any claims, losses, or expenses, including reasonable attorneys’ fees, arising from your violation of these Terms, your misuse of our content, or your conduct in the Community.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-law rules.
Any dispute arising from these Terms or your Membership will first be addressed through good-faith negotiation. You agree to contact us at [email protected] before starting any legal proceeding. If the dispute cannot be resolved informally, it will be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in South Carolina. You waive any right to participate in a class action lawsuit or class-wide arbitration against Byrd Coaching LLC.
20. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify active members by email or a Community announcement at least seven (7) days before the changes take effect. Continuing your Membership after the effective date means you accept the updated Terms. If you do not agree, you must cancel before the changes take effect.
21. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, it will be limited or removed to the minimum extent necessary, and the rest of these Terms will remain in effect.
These Terms, together with our End User License Agreement, Privacy Policy, Return Policy, and Whop’s terms of service, are the entire agreement between you and Byrd Coaching LLC regarding your Membership, and they replace any prior agreements on the same subject.
